Se analiza la evolución del ordenamiento español, desde la incorporación en el Código Unificado de Buen Gobierno de ciertas Recomendaciones europeas, hasta la opción normativa que plasma el Proyecto de Ley de Economía Sostenible. Se pasa a imponer a toda sociedad cotizada la elaboración del Informe Anual de Retribuciones y su votación consultiva en la junta general. Regulation problems coming along with the discussion on remuneration of directors are herein assessed. The evolution of the Spanish legal system is studied from the incorporation of certain European Recommendations in the Corporate Governance Unified Code up to the regulatory option expressed in the Sustainable Economy Bill.
