   <dc:title>Algunas reflexiones sobre la función (la utilidad) del capital social como técnica de protección de los acreedores</dc:title>

   <dcterms:abstract>Este artículo tiene por objeto comprobar si el  sistema tradicional del “legal capital” contenido en la Segunda Directiva  es eficaz para proteger los legítimos intereses de los acreedores sociales.  Para ello se estudian, en primer término, cuales son las características del sistema europeo y se ponen de manifiesto las   críticas que a este sistema se han dirigido en Europa basadas, fundamentalmente, en la rigidez de las disposiciones normativas. A continuación se examina el sistema (sistemas) norteamericano como posible modelo  alternativo al existente en la UE, tomando en consideración los medios de protección diseñados en ese ordenamiento para proteger a los acreedores al margen del capital social (acuerdos, test de solvencia, etc.). Finalmente,  se comprueba que ambos sistemas ofrecen un grado de protección semejante. This paper considers whether the legal capital of public companies in Europe is efficient   in order to protect the legitimate interest of the company’s creditors.  First, the paper studies which are the general remarks in Second Company Law Directive and the discussion at EU level about the dissatisfaction with some very rigid and cumbersome provisions.  Second, it gives a brief overview of  the US systems as possible alternatives to legal capital.  Third, it surveys several  functional substitutes of creditor protection outside legal capital (covenants, solvency test, etc.). Finally, this paper explains that legal capital rules are as efficient as US models and the creditor protection is similar in both systems.</dcterms:abstract>
