First, an analysis of the factual scenario of the prospectus in primary markets from economic, financial, historical, linguistic and socio-legal perspectives is provided. Second,the principles and goals of Spanish law applicable to the prospectus are distilled from prospectus, investment services, company and contract law. Third, the functions of the prospectus are defined and developed with the assistance of theafore mentioned perspectives, principles and goals; and compared with principles of company law and investment services to understand their consistency and the additional contributions of prospectus law as well as their consistency with MiFI rationales.
