Abstract
El debate en torno a la aplicación de la reserva estatutaria en materia de remuneración de los consejeros delegados se ha manifestado de manera muy activa entre la doctrina, la DGSJyFP y el Tribunal Supremo desde la Ley 31/2014. A este respecto, se pueden establecer tres grupos de pronunciamientos: en primer lugar, resoluciones de la DG entre los años 2015 y 2018; en segundo lugar, la sentencia del Tribunal Supremo de 2018; y, en tercer lugar, resoluciones de la Dirección General posteriores a la sentencia citada. Este último grupo de pronunciamientos de la DGSJyFP ha asumido de manera generalizada la interpretación de la STS de 2018, si bien matizando el criterio de flexibilidad propugnado en ella. Sin embargo, la Dirección General, en la resolución de 16 de noviembre de 2021, va un paso más allá en su pretendida flexibilidad, interpretando ciertos extremos relativos a la posición y la remuneración de los consejeros delegados de un modo que merece ser analizado.
The debate on the application of the statutory reserve to the remuneration of executive directors has been very active among the doctrine, the DGSJyFP and the Supreme Court since Law 31/2014. In this regard, three groups of pronouncements can be established: firstly, rulings by the DG between 2015 and 2018; secondly, the Supreme Court decision of 2018; and, thirdly, rulings by the DG subsequent to the aforementioned resolution. This last group of rulings by the DGSJyFP has generally adopted the interpretation of the 2018 Supreme Court decision, although it has qualified the criterion of flexibility advocated therein. However, the DG, in the ruling of 16 November 2021, goes a step further in its intended flexibility, interpreting certain points relating to the position and remuneration of executive directors in a way that deserves to be analysed.
