Abstract
La sentencia del Tribunal de Justicia de la Unión Europea (Sala Tercera), de 5 de mayo de 2022 (asunto C-410/20) ha declarado que la Directiva 2014/59/UE se opone a que cuando en la resolución de una entidad financiera (banco) se amorticen sus acciones, quienes las habían suscrito en un aumento de capital previo puedan ejercitar acciones de resarcimiento de daños con fundamento en información incorrecta del folleto de emisión. Esta decisión no interpreta correctamente el régimen de la resolución y vulnera los derechos fundamentales de propiedad y a la tutela judicial efectiva.
The judgment of the Court of Justice of the European Union (Third Chamber), of 5 may 2022 (case C-410/20) has ruled that Directive 2014/59/EU opposes that when in the resolution of a financial institution (bank) their shares have been written down, those who had subscribed them in a previous capital increase may claim for compensation of damages based on incorrect information in the issue prospectus. This decision does not correctly interpret the resolution regime and violates the fundamental rights of property and to an effective remedy and to a fair trial.
