Abstract
El entorno económico cambiante requiere de figuras contractuales que se adapten a las limita-ciones que las regulaciones imponen. El contrato de franquicia nació como respuesta a la nece-sidad de regular los acuerdos de réplica de negocio y ampararlo a la legalidad vigente, haciéndolo compatible con la normativa de competencia. Siendo contrato regulado formalmente, el mer-cado ha demostrado que su regulación ha sido manifiestamente ineficaz. El propósito de este trabajo es demostrar que nuestro mercado se ha visto afectado por una regulación ineficiente, generando inseguridad. Demostradas las hipótesis anteriores, se plantea una profunda renova-ción legislativa con un enfoque más realista y eficiente.
The economic changing environment requires contractual figures get adapted to the limitations imposed by regulations. Franchise contract was born as a response to the need to regulate busi-ness replication agreements and protect it by current legislation, making it compatible with com-petition laws. Being a formally regulated contract, the market has shown that its regulation has been obviously ineffective. The purpose of this work is to demonstrate that our market has been partially affected by inefficient regulation, generating insecurity. Once the previous hypotheses have been demonstrated, a profound legislative renewal is proposed with a more realistic and efficient approach.
