Abstract
El objeto de esta tesis es analizar el régimen legal aplicable en España a la identificación de los socios en las sociedades de capital. El conocimiento de la identidad de los socios es apreciado por distintos colectivos, cada uno de ellos con sus propios motivos e intereses que lo justifican. En primer lugar, la propia sociedad necesita conocer los datos de identificación de sus socios para mantener la relación con ellos y fomentar su participación en la vida social. También los socios deben tener la posibilidad de conocer la identidad de los demás socios, con objeto de poder establecer contacto entre ellos y llevar a cabo acciones conjuntas en defensa de sus intereses comunes. Finalmente, existen terceros que tienen también interés en conocer la identidad de los socios, algunos por razones privadas (acreedores, por ejemplo) y otros por tener a su cargo la defensa de intereses públicos (administraciones públicas, órganos judiciales, etc…)...
The aim of this thesis is to analyse the legal regime applicable in Spain to the identification of shareholders in capital companies.Knowledge of the identity of the shareholders is appreciated by different groups, each with their own reasons and interests that justify it. Firstly, the company itself needs to know the identification data of its members in order to maintain the relationship with them and to encourage their participation in the life of the company. The members must also be able to know the identity of the other members, in order to be able to establish contact between them and take joint action in defence of their common interests. Finally, there are third parties who also have an interest in knowing the identity of the shareholders, some for private reasons (creditors, for example) and others because they are in charge of defending public interests (public administrations, judicial bodies, etc.)...
