La convocatoria judicial de la Junta General de accionistas ante la acefalía del órgano de administración

Abstract

En esta comunicación se plantea la problemática que se deriva de la acefalía del órgano de administración de la sociedad anónima y las soluciones para evitar la paralización societaria, específicamente la posibilidad de convocatoria judicial para el nombramiento de administradores. Abstract: This paper refers to the problems which arise from the absence of directors in a limited liability company in the form of a Spanish “Sociedad anónima” and the solutions to avoid the paralyzation of the company, in particular the possibility of a calling general meeting by the court in order to appoint directors for the company.
