Las microempresas cooperativas como instrumento de emprendimiento empresarial

Abstract

Nuestro sistema empresarial no es ajeno a las circunstancias adversas de un entorno globalizado que, en momentos recientes, están provocando una situación de inestabilidad económica que afecta al tejido empresarial como principal elemento dinamizador de la economía. En tal contexto, la creación de empresas de forma rápida y ágil, y por ende de empleo, se erige esencial para afrontar y superar dicho escenario, al que pueden contribuir las microempresas cooperativas, como forma de emprendimiento e iniciativa empresarial favorecedora del autoempleo, para proyectos empresariales de reducida dimensión. Su marco legislativo se alberga en sede autonómica, aunque no son muy prolíficas las comunidades autónomas que han promulgado normas sobre la materia, generalmente para determinadas clases de cooperativas, y a nivel estatal, aún la reducción paulatina del número de miembros necesarios para constituir una cooperativa, no se contempla de forma expresa dicha figura. Con esos precedentes, se analiza la relevancia empresarial y función económica que desempeñan las microempresas cooperativas con el examen de los elementos que permiten su delimitación conceptual, determinante del régimen jurídico específico aplicable. En ese sentido, la determinación mínima del número de socios para su constitución y su limitación máxima es pieza nuclear junto al estudio de la estructura organizativa que excepciona alguno de los órganos de las cooperativas y requiere normas especiales de composición y funcionamiento. Por su parte, la simplificación del procedimiento constitutivo de cooperativas y de los costes aparejados a su constitución no se ha producido de forma paralela al proceso acontecido en materia societaria, que ha venido auspiciado a nivel europeo y postergado respecto a las microcooperativas

Our business system is not immune to the adverse circumstances of a globalized environment, which, in recent times, are causing a situation of economic instability that affects the business fabric as the main driving force of the economy. In such a context, the rapid and agile creation of companies, and therefore employment, is essential to face and overcome this scenario, which can be contributed to by cooperative microenterprises as a form of entrepreneurship and business initiative conducive to self-employment, for smallscale business projects. Their legislative framework is housed at the regional level, although not many autonomous communities have enacted regulations on the matter, generally for certain types of cooperatives, and at the state level, even the gradual reduction of the number of members required to establish a cooperative does not expressly contemplate this figure. With these precedents, the business relevance and economic function they perform are analyzed along with the examination of the elements that allow for their conceptual delimitation, determining the specific legal regime applicable. In this sense, the minimum determination of the number of partners for their constitution and their maximum limitation is a key piece along with the study of the organizational structure that exempts some of the organs of the cooperatives and requires special rules of composition and operation. On the other hand, the simplification of the constitutive procedure of cooperatives and the costs associated with their constitution have not occurred in parallel with the process that has taken place in company matters, which has been sponsored at the European level and postponed with respect to micro-cooperatives
