Abstract

La presente tesis doctoral aborda la estructura y funciones del folleto en el mercado primario de valores. Primero, se analiza el supuesto de hecho del folleto en los mercados primarios desde las perspectivas económica, financiera, histórica, lingüística y socio-jurídica. Segundo, se desgranan los principios y objetivos aplicables al folleto desde el Derecho español de folletos, servicios de inversión, sociedades y contratos.Tercero, se definen y desarrollan las funciones del folleto con la ayuda de las perspectivas principios y objetivos anteriores; y se comparan con los principios del Derecho de sociedades y servicios de inversión para comprender su coherencia y las aportaciones adicionales del Derecho de folletos, así como su coherencia con los fundamentos del MIF; donde las perspectivas, principios y funciones mencionados forman un novedoso marco analítico...

This doctoral dissertation deals with the structure and functions of the prospectus in the primary securities markets. First, an analysis of the factual scenario of the prospectus in primary markets from economic, financial, historical, linguistic and socio-legal perspectives is provided. Second,the principles and goals of Spanish law applicable to the prospectus are distilled from prospectus, investment services, company and contract law. Third, the functions of the prospectus are defined and developed with the assistance of theafore mentioned perspectives, principles and goals; and compared with principles of company law and investment services to understand their consistency and the additional contributions of prospectus law as well as their consistency with MiFI rationales.
