O dever de cuidado dos administradores e a concepção da business judgement rule em ordenamentos jurídicos de civil Law

Abstract

The study is a general reflection on the influence of the principles of corporate governance (common Law) in the European Corporate Law (civil Law). Hence, we will analyse the factors of the relation administrationsociety and the normative evolution of this matter in some legal orders, mainly regarding to the Portuguese language literature, highlighting the Lusitanian legal doctrine. The spelling adopted is the Brazilian Portuguese and the direct quotes related to Portuguese authors respect their original language.O estudo consiste numa reflexão geral sobre a influência dos princípios do corporate governance (common Law) no Direito Societário europeu continental (civil Law). Sendo assim, analisar-se-á os fatores da relação administração-sociedade e a evolução normativa desta matéria em alguns ordenamentos jurídicos, em especial à bibliografia de língua portuguesa com destaque à doutrina jurídica lusitana. A grafia adotada é o português do Brasil e as citações diretas dos autores portugueses em grafia do português europeu.
