Abstract
La impugnación de acuerdos sociales supone, junto a la responsabilidad de los administradores, más del ochenta por ciento de los pleitos en materia societaria. Y aunque la reforma en la Ley de Sociedades de Capital operada por la Ley 31/2014, de 3 de diciembre ha supuesto una notable disminución en el reflejo judicial de los conflictos internos entre socios, no por ello deja de constituir un aspecto nuclear del derecho de sociedades, en el que las aportaciones de la doctrina y de la jurisprudencia han sido históricamente capitales como inspiradoras de las reformas legales y correctoras de los abusos que tienen lugar en la vida societaria. Esta tesis constituye un estudio completo de los acuerdos susceptibles de impugnación, analizando qué se puede impugnar, cuándo, cómo y, muy fundamentalmente el por qué. Además del obligado estudio del estado de la doctrina, el autor, juez de profesión, presta una especial atención a la respuesta judicial.
The challenge of corporate resolutions represents, together with the liability of the administrators, more than eighty percent of the lawsuits in corporate matters. And although the reform in the Capital Companies Act operated by Law 31/2014, of December 3 has led to a significant decrease in the judicial reflection of internal conflicts between partners, it does not cease to constitute a nuclear aspect of company law, in which the contributions of doctrine and jurisprudence have been historically capital as inspiring legal reforms and corrective of the abuses that take place in corporate life. This thesis constitutes a complete study of the agreements that can be challenged, analyzing what can be challenged, when, how and, very fundamentally, why. In addition to the obligatory study of the state of the doctrine, the author, a judge by profession, devotes special attention to the judicial response.
